1. INTRODUCTION

1.1 These Terms and Conditions (Terms) describe the terms upon which you grant to us a license to use, and display the content which you have uploaded, posted, or otherwise submitted (Your Content) to any social media platform, or any other digital or physical media (Platforms). Your Content may include, without limitation, a visual image like a photo, a video, film or text.

1.2 We will send you a specific request if we identify Your Content and would like to receive a license from you. By responding #yes@KingLiving to our request, you agree to grant this license to us and then you and we will be bound by these Terms.

1.3 In these terms we, our, us King Living and similar expressions, refer to King Furniture Australia Pty Ltd (ACN 002 757 333).

1.4 You, your, and similar expressions, refer to you, the creator and/or publisher of Your Content.

2. GRANT OF LICENSE

2.1 By responding #yes@KingLiving, you grant King Living and its related entities, with immediate effect, a non-exclusive, worldwide, royalty-free, fully paid up, perpetual (but revocable, subject to clause 4), transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display Your Content in any media channels and for any commercial or non-commercial purpose.

2.2 This Iicense covers all present and future media channels, including websites, social media platforms, advertising campaigns, email newsletters, and any other digital or physical distribution methods.

2.3 By responding #yes@KingLiving you grant King Living permission to use and publicly display on our Platforms, any identifying information associated with Your Content, such as your username, profile picture, and any other personal details provided along with Your Content.

2.4 In consideration for granting us this license, you acknowledge and agree that you receive the benefit of association with our brand and other benefits and advantages arising from wider distribution of Your Content and that these benefits are fair and adequate consideration. No other compensation is payable to you in return for granting this license.

2.5 We have the right to cease or refrain from publishing Your Content in our absolute discretion or if, in our opinion, Your Content does not comply with these Terms and Conditions (for instance, if any aspect of Your Content is unlawful and/or contrary to the accepted standards of morality and/or infringes the rights of a third party).

3. WARRANTY AND INDEMNITY

3.1 You represent and warrant that:

(a) You are over 18 years of age and have the legal authority to grant us this license.

(b) You are the sole owner of the intellectual property rights in Your Content and/or you have obtained all necessary rights, Iicences, and consents from any third party (including any individual whose likeness, voice, or other personal attributes may appear in (Your Content) to grant the rights set forth in these Terms.

3.2 You agree to indemnify King Living and its related entities from and against any claim, damage or liability, arising out of or in connection with any breach of this warranty, including any claim that our use of Your Content infringes the intellectual property rights or other proprietary rights of a third party.

4. CONTENT REMOVAL PROCESS

4.1 If at any time you would like us to cease publication of Your Content on the Platforms, please contact us at [email protected].

4.2 In your request, please include:

(a) A clear description and a link or reference to Your Content so we can locate where and how Your Content has been published by us.

(b) An explicit request for us to remove Your Content from the Platforms.

4.3 When we receive your request, we will use reasonable efforts to cease publication of Your Content; however, please note that removal from all contexts (such as re-shares or third-party distributions) may not be possible if they are not within our control.

5. GOVERNING LAW AND JURISDICTION

5.1 These Terms and any disputes arising out of or in connection with them will be governed by and construed in accordance with the laws of New South Wales in Australia. You agree to submit to the non-exclusive jurisdiction of the courts of that state and courts entitled to hear appeals from those courts.

6. GENERAL PROVISIONS

6.1 We reserve the right to amend these Terms at any time. Any changes will be posted on our website and/or Platforms and will become effective upon publication (but only with respect to new licenses which are granted after the date of the amendment).

6.2 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

6.3 These Terms constitute the entire agreement between you and King Living with respect to Your Content and supersede any prior agreements.
